mi.team Business Service Terms

1. Parties

These mi.team Business Service Terms (“Agreement”) are entered into between:

Network Ltd, a company registered in England and Wales (Company No. 04498416), trading as mi.team, and/or any group company appointed to provide the mi.team service, including MiTeam Systems Limited, a company registered in England and Wales (Company No. 17022666) (“mi.team”, “we”, “us”), and

the company or organisation creating a mi.team account, accessing the mi.team platform, or using the mi.team service (“you”, “your”).

Unless we notify you otherwise, Network Ltd shall be the initial contracting entity and service provider. We may transfer this Agreement and/or the provision of the mi.team service to MiTeam Systems Limited or another group company, provided this does not materially reduce your rights under this Agreement.

The individual accepting this Agreement on your behalf confirms that they are authorised to do so.

2. Purpose

This Agreement sets out the terms under which you may use the mi.team software platform within your own organisation.

mi.team is provided to help organisations understand computer activity, productivity, technology usage, and related business insights.

3. Term

This Agreement takes effect when you create a mi.team account, access the mi.team platform, or begin using the mi.team service.

This Agreement shall continue unless and until terminated in accordance with clause 11 (“Termination”).

4. Licence and Permitted Use

4.1 mi.team grants you a non-exclusive, non-transferable licence to use the mi.team software during the Term.

4.2 You may use mi.team within your own organisation, including by deploying the mi.team software to devices used by your staff, workers, contractors, or other authorised users.

4.3 You shall not:

  • resell, sublicense, or provide mi.team to any third party;
  • white-label or rebrand mi.team;
  • copy, modify, reverse engineer, or attempt to derive the source code of mi.team;
  • use mi.team for any unlawful, covert, or unauthorised purpose.

All intellectual property rights in mi.team remain the property of mi.team, Network Ltd, MiTeam Systems Limited, or their licensors, as applicable.

5. Commercial Terms and Trial Access

5.1 mi.team may provide you with a free trial, promotional offer, or other introductory access to the mi.team service.

5.2 Any free trial or promotional access is subject to eligibility, availability, and confirmation by mi.team.

5.3 Unless otherwise agreed in writing, continued use of mi.team following the expiry of any free trial or promotional period shall become chargeable.

5.4 Pricing for chargeable use shall be mi.team’s published pricing, as displayed on the mi.team website at the time of billing, unless otherwise agreed in writing.

5.5 mi.team reserves the right to limit, suspend, or refuse trial access where usage is considered excessive, inappropriate, or outside the intended scope of the offer.

6. Deployment and Use

You are responsible for ensuring that, before deploying mi.team within your organisation:

  1. you have appropriate policies and/or employment terms in place to permit monitoring of IT systems for legitimate business purposes;
  2. staff, workers, contractors, or other affected users have been appropriately informed about the deployment and use of mi.team; and
  3. an initial test deployment has been completed on at least one device to verify deployment behaviour and any required security exclusions.

You are also responsible for determining how mi.team is configured and deployed within your organisation, including any user notifications, consent mechanisms, privacy settings, and access to data.

7. Data Protection

7.1 For the purposes of data protection legislation, you are the data controller and mi.team acts as a data processor.

7.2 mi.team shall process personal data solely for the purpose of providing the mi.team service and in accordance with your documented instructions.

7.3 Data is encrypted in transit and at rest and hosted on reputable cloud infrastructure. Appropriate technical and organisational security measures are applied.

7.4 No automatic data export functionality is provided.

7.5 mi.team may use third-party sub-processors for hosting and infrastructure services, including cloud database providers. Further details may be provided on request.

7.6 mi.team may disclose personal data where required to do so by law, regulation, court order, or lawful request from a competent authority.

8. Account Administration and Confidentiality

8.1 You are responsible for managing access to your mi.team account, including administrator permissions, user access, and internal access controls.

8.2 You are responsible for all activity carried out through accounts, users, or administrators authorised by you.

8.3 Each party shall treat the other party’s confidential information as confidential and shall not disclose such information to any third party, except as required to perform this Agreement.

9. Acceptable Use

9.1 You shall use mi.team only for lawful business purposes.

9.2 You shall not use mi.team:

  • to monitor devices or users without appropriate authority;
  • to access, collect, or process data in a way that breaches applicable law;
  • to interfere with or compromise the security or operation of the mi.team platform;
  • to attempt to gain unauthorised access to any other account, tenant, system, or data.

9.3 mi.team may suspend access to the service where we reasonably believe the service is being misused, used unlawfully, or used in a way that creates risk to mi.team, other customers, or third parties.

10. Warranties and Liability

10.1 mi.team is provided “as is” and without warranty that it will be uninterrupted or error-free.

10.2 mi.team shall not be liable for:

  • employment or workplace disputes;
  • your internal decisions made using mi.team data;
  • loss of profits, revenue, or indirect or consequential losses.

10.3 mi.team’s total liability under this Agreement shall be limited to:

  • the fees paid by you in the preceding 12 months; or
  • £1,000 during any free trial period,

whichever is lower.

11. Termination

11.1 Either party may terminate this Agreement on 90 days’ written notice.

11.2 Either party may terminate this Agreement immediately in the event of a material breach by the other party.

11.3 Upon termination:

  • you shall cease using mi.team;
  • you shall remove or disable mi.team software from your devices, where applicable;
  • access to the mi.team platform may be withdrawn; and
  • no automatic data export shall be provided.

12. General

12.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.

12.2 This Agreement is governed by and construed in accordance with the laws of England and Wales.

12.3 mi.team may update these Business Service Terms from time to time. Material changes will be communicated through the platform, by email, or via the mi.team website. Continued use of the service following such changes shall constitute acceptance of the updated terms.

12.4 By creating an account, accessing the platform, or using the mi.team service, you acknowledge that you have read and agree to these Business Service Terms.

12.5 We may assign or transfer this Agreement, or the provision of the mi.team service, to MiTeam Systems Limited or another group company. We will notify you of any such transfer where reasonably practical.

Appendix 1 – mi.team Security

Introduction

mi.team is a cloud-based SaaS platform designed with security as a core consideration. Technical and organisational measures are implemented across the frontend, backend, and database layers to support the confidentiality, integrity, and availability of customer data.

Infrastructure

The frontend is delivered globally via the Cloudflare CDN, providing secure content distribution, DDoS mitigation, caching, and traffic optimisation. All client connections use TLS 1.2 or higher to protect data in transit.

The backend provides API access for the frontend and desktop applications and is hosted within Amazon Web Services (AWS) inside a Virtual Private Cloud (VPC), isolating resources within a private network environment. Services are protected through authentication, encrypted communication via TLS, and firewall rules. System credentials and secrets are managed using secure storage practices.

Customer data is stored in MongoDB Atlas, a managed database platform. Database access is restricted via private endpoints to limit connectivity to authorised services. Data at rest is encrypted using AES-256, with automated encrypted backups maintained.

Data Protection

All communication between users, the frontend, backend, and database is encrypted using TLS 1.2 or higher. HTTPS is enforced across all endpoints, including APIs.

Data stored within the database is encrypted at rest using AES-256. Automated encrypted backups are maintained to support recovery processes.

Access to sensitive data is controlled through authentication and permission-based access controls.

Access and Permissions

User authentication and identity management are handled through Descope, with token-based session management and support for multi-factor authentication.

Permissions may be configured at platform, organisation, team, and individual levels. Role-based controls enable administrators to define access to features and data in accordance with operational requirements.

Compliance

The platform is designed with GDPR principles in mind and supports organisations in meeting their data protection obligations. Infrastructure, data handling, and operational processes are aligned with recognised security and privacy practices.
